Terms of Service

1. Acceptance of Terms

By accessing or using the VERLIX CO. LTD. platform, API, or any of our services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

2. Description of Services

VERLIX provides physical address verification, field data collection, GIS services, CAC registration assistance, and related enterprise verification services. All services are subject to availability and the terms set out in your service agreement or scope of work with VERLIX.

3. Client Obligations

As a client using VERLIX services, you agree to:

  • Provide accurate and complete information in all verification requests.
  • Use our services only for lawful purposes and in compliance with applicable Nigerian law.
  • Obtain all necessary consents from data subjects before submitting their personal data to VERLIX.
  • Not use our reports or data for purposes beyond those stated at the time of request.
  • Keep your API keys and credentials confidential and notify us immediately of any breach.

4. Service Level Agreement

VERLIX shall use commercially reasonable efforts to complete standard verifications within the agreed turnaround time specified in your service agreement. For standard physical address verifications, this is typically 24–72 working hours. Timelines may be affected by subject unavailability, access restrictions, or force majeure events. VERLIX will communicate any delays promptly.

5. Intellectual Property

All reports, documents, platform features, software, and content produced by VERLIX remain the intellectual property of VERLIX CO. LTD. Clients are granted a non-exclusive, non-transferable licence to use completed verification reports for internal business purposes. Reports may not be resold, redistributed, or sublicensed without our prior written consent.

6. Limitation of Liability

VERLIX verification reports reflect the physical state of an address at the time of the agent visit and are not guarantees of future accuracy. VERLIX shall not be liable for any indirect, incidental, special, or consequential loss arising from reliance on our reports beyond the total fees paid for the specific verification in question. In all cases, liability is limited to the amount paid for the specific service that gave rise to the claim.

7. Payment Terms

Fees are as agreed in your service agreement or as displayed in your account portal. Invoices are payable within 14 days of issuance unless otherwise agreed. Late payments attract a 2% monthly interest charge. VERLIX reserves the right to suspend services for accounts with outstanding balances exceeding 30 days.

8. Termination

Either party may terminate a service agreement with 30 days' written notice. VERLIX may terminate immediately upon material breach, including misuse of the platform, submission of fraudulent requests, or failure to pay outstanding invoices. On termination, access to the platform is revoked and data retention obligations continue as described in our Privacy Policy.

9. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Katsina State, Nigeria, unless an alternative dispute resolution mechanism is agreed between the parties.
